Key Responsibilities

Support SEC reporting and disclosure, including Forms 10-K, 10-Q, 8-K, proxy statements, and annual shareholder meeting materials.
Assist with Section 16 reporting, insider trading compliance, and 10b5-1 plan administration.
Partner with Finance, Accounting, Investor Relations, HR, Tax, Treasury, and Communications on public company reporting and governance matters.
Support board, committee, and subsidiary governance, including meeting materials, resolutions, minutes, and legal entity management.
Maintain corporate governance policies and documentation.
Provide legal support on treasury and corporate finance matters, including letters of credit, guarantees, intercompany loans, and bank compliance requests.
Drive process improvements for recurring SEC, governance, and entity management workflows.

Qualifications

J.D. and active license to practice law in at least one U.S. state.
5+ years of experience at a leading law firm, public company legal department, or combination thereof.
Experience with SEC reporting (10-K, 10-Q, 8-K), proxy statements, corporate governance, and public company compliance.
Familiarity with Section 16 reporting, insider trading compliance, and 10b5-1 plans.
Knowledge of board and committee governance practices and exchange listing standards.
Treasury and corporate finance experience (letters of credit, guarantees, intercompany loans) preferred.
Strong communication, project management, and cross-functional collaboration skills.
Sound business judgment, professionalism, and ability to manage multiple priorities in a fast-paced environment.
